The Company does not guarantee specific results, outcomes, revenue increases, profit levels, business success, or performance improvements.

Any examples, testimonials, case studies, or references to past results are illustrative only and do not constitute guarantees of future outcomes. Individual results may vary based on numerous factors beyond the Company’s control.

 

5. Client Responsibilities
 

The Client agrees to:

  • Provide accurate, complete, and truthful information

  • Actively participate in sessions and implementation efforts

  • Make independent business decisions and evaluations

  • Comply with all applicable laws and regulations

  • Use the Services solely for lawful business purposes

Failure to fulfill these responsibilities may limit or negate the effectiveness of the Services.

 

6. Intellectual Property Rights
 

All Content, methodologies, frameworks, including the F.P.S.S. Method, materials, and systems provided by the Company are the exclusive intellectual property of Arca Consulting LLC.

Clients receive a limited, non-exclusive, non-transferable, revocable license to use provided materials solely for internal business purposes. Reproduction, redistribution, resale, sublicensing, recording, or commercial exploitation without prior written consent is strictly prohibited.

 

7. Confidentiality
 

Both parties agree to maintain the confidentiality of non-public information exchanged during the engagement. Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from third parties.

The Company may use anonymized and aggregated insights for internal analysis, improvement of Services, or educational purposes.

 

8. Payment Terms
 

Payment terms, fees, billing schedules, and refund conditions are governed by the applicable Payment, Billing, and Secure Transactions Policy, which forms an integral part of these Terms of Service.

Failure to make timely payments may result in suspension or termination of Services.

 

9. Scheduling, Cancellations, and Rescheduling
 

Sessions must be scheduled in advance. Cancellation or rescheduling policies, including notice periods and forfeiture conditions, are defined in the Payment and Billing Policy.

Missed sessions without proper notice may be considered delivered and non-refundable.

The Company may utilize third-party platforms for communication, scheduling, analytics, payments, or content delivery. The Company is not responsible for the availability, functionality, or policies of third-party services.

Use of third-party services is subject to their respective terms and policies.

 

11. Limitation of Liability
 

To the maximum extent permitted by law, Arca Consulting LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Total liability arising from or related to the Services shall not exceed the total amount paid by the Client to the Company during the three months preceding the claim.

 

12. Indemnification
 

The Client agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, costs, or expenses arising from misuse of the Services, violation of these Terms, or infringement of third-party rights.

 

13. Termination
 

The Company reserves the right to suspend or terminate access to the Website or Services at its discretion for violations of these Terms, misuse, non-payment, or conduct that poses legal or reputational risk.

Termination does not relieve the Client of payment obligations or surviving provisions.

 

14. Force Majeure

The Company shall not be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, government actions, technical failures, or third-party disruptions.

 

15. Governing Law and Jurisdiction
 

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Wyoming.
